             SOUTHWESTERN BELL FILES APPLICATION FOR REVIEW 
          OF COMMON CARRIER BUREAU MEMORANDUM OPINION AND ORDER
                        ON AFFILIATE TRANSACTIONS

                         PUBLIC COMMENT INVITED


               On May 22, 1996, Southwestern Bell Telephone Company (SWBT) filed an
Application for Review of a Common Carrier Bureau Memorandum Opinion and Order (MO&O)
released April 22, 1996 ( DA 96-556).  In the MO&O the Bureau denied SWBT's and other
parties' petitions for reconsideration of the Bureau's determination that affiliate transactions
involving the provision of nonregulated services must comply with the Commission's affiliate
transactions rules.  In its Application for Review, SWBT states that the Bureau's action in the
MO&O is inconsistent with prior Commission orders.  SWBT also states that the MO&O
expands the applicability of the affiliate transactions rules without following relevant rulemaking
procedures. 

               Parties may file comments on SWBT's Application for Review no later than  July
15, 1996.  Replies comments should be filed by July 30, 1996.  Reply comments should
reference AAD file number AAD 96-57.  A copy of the comments and reply comments should
