                                                                             Note I
For each Party, the percentage is calculated by dmding the financial investment of that Party
                   by the sum of the total financial investment of all the Parties.
                                                                             Note 2
For the purposes of this Agreemeryt, Transoceanic Communic3tions Inc. shall 1) own and be responsible for the
percentage of capital, operation and maintenance costs listed against AT&T for that portion of Segmeryt S of
TAT-14 within the LJK, France, The Netherlands, Germany and Denmark including their territorial waters. AT&T
shall be responsible for the capital, operation and mairdenance costs for the percordages listed against AT&T
for the remainder of Segmerft S and 2) have no rights or obligations independent from those of AT&T.
                                                                             Note 3
For the purposes of this agreemerd, PGE-Bermuda shall 1) own and be responsible for the percentage of
capital, operation and maintenance costs listed against PGE and 2) have no rights or obligations inde;>enderit
                                                                 from those of PGE.
