The shareholders of Redwood 700, Inc. ("Redwood 700") and AT&T Inc. ("AT&T")
(collectively, "the Applicants") have filed an application pursuant to Section 310(d) of the
Communications Act of 1934, as amended,1 seeking to transfer control of the 22 Lower 700 MHz B and
C Block licenses held by Redwood Wireless Corp. ("Redwood Wireless"), a wholly-owned subsidiary of
Redwood 700. A wholly-owned indirect subsidiary of AT&T will be merged with and into Redwood
700. As a result, Redwood 700 will become a wholly-owned indirect subsidiary of AT&T, and Redwood
Wireless will remain a wholly-owned subsidiary of Redwood 700 and also become a wholly-owned
indirect subsidiary of AT&T. The proposed transfer of control involves licenses covering 72 counties in
17 CMAs in Minnesota and Wisconsin. The Applicants state that the additional spectrum will enable
AT&T to increase its system capacity to enhance existing services, better accommodate its overall
growth, and facilitate the provision of additional products and services to the public in these 17 CMAs in
Minnesota and Wisconsin.
Preliminary review of the application indicates that in 48 of the 72 counties, AT&T would hold,
post transaction, 55 megahertz of spectrum below 1 GHz.2
SECTION 310(d) APPLICATION
The following application for consent to the transfer of control of Lower 700 MHz B and C Block
licenses from the shareholders of Redwood 700 to AT&T has been assigned the following file number:

EX PARTE STATUS OF THIS PROCEEDING
Pursuant to Section 1.1200(a) of the Commission's rules,3 the Commission may adopt modified
or more stringent ex parte
procedures in particular proceedings if the public interest so requires.4 We
announce that this proceeding will be governed by permit-but-disclose ex parte
procedures that are
applicable to non-restricted proceedings under Section 1.1206 of the Commission's rules.5
Parties making oral ex parte

reemphasizing the public's responsibility in permit-but-disclose proceedings and are reminded that
memoranda summarizing the presentation must contain the presentation's substance and not merely list

The assignment application referenced herein has been found, upon initial review, to be
acceptable for filing. The Commission reserves the right to return any application if, upon further
