COMMISSION TO HOLD EN BANC HEARING
         ON AMERICA ONLINE, INC. AND TIME WARNER, INC.
             APPLICATIONS FOR TRANSFER OF CONTROL 
                      CS DOCKET NO. 00-30

       The Federal Communications Commission will hold an en banc hearing on July 27, 2000 to discuss issues
pertinent to the joint applications of America Online, Inc. ("AOL") and Time Warner, Inc. ("Time
Warner") for Commission approval of the transfer of control to AOL Time Warner, a new entity, of
licenses and authorizations now held by AOL and Time Warner.  The proposed transfer of control would
take place as the result of the merger of AOL and Time Warner.

          Similar to other public forums and en banc hearings held by the Commission on transactions of
widespread public interest, the purpose of this en banc hearing is to assist the Commission in its review of
the applications and to provide an opportunity for further discussion of issues raised in the proceeding.
AOL and Time Warner, as well as consumer, community, and industry representatives will be invited to
participate as panelists.  Additional information will be provided in a subsequent public notice.

          The en banc will be held on July 27, 2000, from 1:00 p.m. to 5:00 p.m. at the Federal Communications
Commission in the Commission Meeting Room, 445 12th Street, S.W., Washington, D.C. 20554.  The en
banc will be open to the public, and seating will be available on a first come, first served basis.  A
transcript of the en banc will be available 10 days after the event on the FCC's Internet site.  The URL
