In its Petition, SII again argued that the Bureau's decision was  X -inconsistent with other IVDS rule waivers.j 2e X -ԍ#X\  P6G;H;P#xId. at 513.j SII also argued that the Bureau had failed to  X-give its waiver request a "hard look" as required under WAIT Radio and that granting its request would bring service to the public more quickly than holding another auction for its  Xd-license.nde X$-č#X\  P6G;H;P#xId. at 11.n Finally, SII argued that the Bureau's decision was inconsistent with Congress's intent, expressed in Section 309(j)(3)(B) of the Communications Act, to ensure the dissemination of licenses among a wide array of applicants, and with the Commission's finding that installment payments would help small businesses overcome barriers to accessing"+#*#*88e"  X-capital.ke Xy-ԍ#X\  P6G;H;P#xId. at 1314.k The Bureau's Memorandum Opinion and Order, released on April 29, 1996, concluded that SII had not demonstrated that its circumstances were unique or that good cause  X-existed to justify a grant of its waiver request.{ye X-ԍ#X\  P6G;H;P#xMemorandum Opinion and Order, 11 FCC Rcd at 52425244. In the same Memorandum Opinion and  {O-Order, the Bureau also denied three other IVDS winning bidders' requests for waiver of the second down payment deadline: Interactive Partners of America; Albert D. Ervin; and Eagle Interactive Partners, L.P.   X-x  X-F III. ARGUMENTS RAISED BY SIIà  Xa-x 5.` ` In its Application for Review, SII offers the same arguments to the Commission that have already been rejected by the Bureau. First, SII argues that the denial of its waiver request is inconsistent with: (1) the Commission's mandate under Section 309(j)(3)(B) of the Communications Act to adopt special provisions to ensure that certain statutorily designated entities, including small businesses, are afforded an opportunity to participate in new communications technologies such as IVDS; and (2) the Commission's  X -finding that it is difficult for small businesses to obtain financing.w e XD-ԍ#X\  P6G;H;P#xApplication for Review at 46. w Second, SII argues that the Bureau's view of SII's failure to obtain backup financing as an exercise of "independent business judgment" not warranting a rule waiver reflects a disregard for the realities of the IVDS market at the time its second down payment was due. According to SII, investors' confidence in IVDS was undermined after the close of the auction by a combination of factors, including the submission of speculative bids by several winning bidders and doubts about the stability of EON Corporation, the IVDS pioneer on which the industry was relying for equipment. SII maintains that under these circumstances it had no control over its  X-temporary loss of financing.jme X=-ԍ#X\  P6G;H;P#xId. at 711.j Finally, SII argues that the Bureau's rigid application of Section 95.816(c)(4) of the Commission's Rules is both inconsistent with the stated policy underlying the rule, which is to ensure that winning bidders have the financial capacity to attract capital to deploy their systems rapidly, and inconsistent with the Commission's grant of  X-other waivers associated with IVDS service.\ e X!-ԍ#X\  P6G;H;P#xId. at 1114. The rule waivers cited by SII are: (1) the Commission's elimination of the oneyear buildout requirement in 47 C.F.R.  95.833(a); (2) the Common Carrier Bureau's grant of a waiver to permit a bidder  {OC#-additional time to submit an engineering report to support its FCC Form 574 filing in Requests for Waivers in  {O $-the First Auction of 594 Interactive Video and Data Service Licenses, 9 FCC Rcd 6384 (1994); and (3) the Commission's grant of a partial waiver of its rules concerning bid withdrawal payments associated with spectrum  {O%-auctions where the petitioner demonstrated submission of a "mistaken" bid in Atlanta Trunking Associates, Inc.  {Oi&-and MAP Wireless L.L.C. Requests to Waive Bid Withdrawal Payment Provisions, 11 FCC Rcd 17189 (1996), on  {O3'-recon., Atlanta Trunking Associates, Inc. and MAP Wireless, L.L.C., Petition for Reconsideration of Bid Withdrawal Payment, and Georgia Independent PCS Corporation, Application for Review of Request to Waive  {O(-Bid Withdrawal Payment Provision, Memorandum Opinion and Order, FCC 97154, 1997 WL 225440 (rel. May"(+#*#*88!)" 6, 1997). \ According to SII, the Bureau's denial of its"X+#*#*88q" waiver request does not serve the public interest because it deprives the public of a serious  X-IVDS licensee who is ready and able to provide IVDS service.xXe X-ԍ#X\  P6G;H;P#xApplication for Review at 1112.x   X-[IV. DISCUSSIONă  X-  Xv-x6.` ` After carefully reviewing the record, we find no justification for overturning  X_-the Bureau's decision. In the Second Report and Order in the competitive bidding docket, we established the requirement of a full and timely down payment to ensure that bidders are  X3-financially capable of constructing and operating their systems.3 e X -ԍ#X\  P6G;H;P#xImplementation of Section 309(j) of the Communications ActCompetitive Bidding, Second Report and  {O-Order, PP Docket No. 93253, 9 FCC Rcd 2348, 238284 (1994).  The upfront and down payment provisions in Sections 95.816 and 1.2107 of the Commission's Rules are designed to ensure that the ultimate purpose of the auction facilitating the provision of reliable service to the public is not undermined by winning bidders who lack the financial capacity to pay  X -for the license, construct a system, and provide service to the public.j e X -ԍ#X\  P6G;H;P#xId. at 2381.j We have also stated  X -that the requirement of a full and timely down payment ultimately helps to deter defaults and ensure the integrity of the auction, by discouraging insincere bidders from winning licenses solely with the expectation that they can "shop" their licenses postauction in a late effort to  X{-obtain financing.{5e Xa-ԍ#X\  P6G;H;P#xId.; see also Interactive Video and Data Service (IVDS) LicensesRequests to Extend Payment Deadline, 10 FCC Rcd 4520 (1995). Given the importance of the down payment deadline, a waiver is appropriate only where a petitioner demonstrates that its circumstances are unique and that  XM-good cause exists to justify the requested relief.)M e X-ԍ#X\  P6G;H;P#xSee 47 C.F.R.  1.3; Northeast Cellular Telephone Co. v. FCC, 897 F.2d 1164 (D.C. Cir. 1990) (holding that grant of a waiver in the absence of special circumstances and good cause is improper). )  X-x7.` ` We disagree with SII's argument that the denial of its waiver request is inconsistent with the Commission's statutory mandate to adopt special provisions to ensure that certain kinds of entities are afforded an opportunity to participate in spectrum auctions,  X-and the Commission's finding that small businesses have difficulty obtaining financing.  The Commission has fulfilled its mandate and acted consistently with its own findings by making bidding credits and installment payment plans available to small businesses participating in the  X-IVDS auction.' e Xm'-ԍ#X\  P6G;H;P#xSee 47 C.F.R.  95.816(d)(1)(2) and 1.2110(e) (1996). Neither its mandate to provide opportunities for small businesses nor its"+#*#*88Q" finding that small businesses have difficulty obtaining capital requires the Commission to waive payment deadlines for small businesses.  X-x8.` ` We also reject SII's contention that the Bureau erred in finding that SII's failure to obtain backup financing was an independent business judgment not warranting a waiver of our rules. We agree with the Bureau that choosing the source of financing for a business enterprise is an individual business judgment for which each applicant is responsible. Moreover, we have consistently stated that a licensee's failure to comply with our rules  XH-because of a private business decision will not warrant a grant of a rule waiver.He X -ԍ#X\  P6G;H;P#xSee BDPCS, Inc., Emergency Petition for Waiver of Section 24.711(a)(2) of the Commission's Rules,  {O -Order, FCC 96498 (rel. Jan. 6, 1997); Personal Communications Corp., Emergency Petition for Waiver of  {Ot -Deadline for Submission of Upfront Payments for Broadband PCS Auction, Order, DA 9537 (Wireless  {O> -Telecom. Bureau 1995); P&R Temmer, d/b/a Mobile Communications Service Company, 93 FCC 2d 1051, aff'd  {O -sub nom., P&R Temmer v. FCC, 743 F.2d 918 (D.C. Cir. 1984); AAT Electronics Corporation, 93 FCC 2d 1034 (1983). In choosing its source of financing and in deciding not to secure backup financing, SII faced the same market factors and the same risks as other IVDS licensees who submitted their down payments on time. Thus, we do not believe that SII has demonstrated "unique circumstances" warranting a waiver of our rules.  X -x9.` ` Finally, we do not agree that the Bureau's refusal to waive Section 95.816(c)(4) of the Commission's Rules is inconsistent with promoting the rapid deployment of service or with the grant of other waivers associated with the IVDS service. We agree with the Bureau that, even if granting SII a waiver would provide service more quickly to one segment of the  Xb-public than reauction of this particular license, the overall effect of waiving down payment deadlines for parties that do not have the funds to meet such deadlines would be a disruption to the auction process and a delay in service to the public generally. Thus, we believe that it is essential to strictly enforce our down payment deadlines. Indeed, we have granted partial relief in response to a request for an extension of a down payment deadline for a license won  X-through competitive bidding only where the delay in making payment was either inadvertent  X-or due to miscalculation or administrative complications.ie X-ԍ#X\  P6G;H;P#xSee, e.g. RFW, Inc., Request for Waiver of Section 24.711(a)(2) of the Commission's Rules Regarding  {O-Market No. B230, Order, DA 97254 (rel. February 4, 1997); MFRI, Inc., Request for Waiver of Section  {O-24.711(a)(2) of the Commission's Rules Regarding Market No. B435, Order, DA 97255 (rel. February 4, 1997); and Cenkan Towers, L.L.C., Request for Waiver of Section 90.811 of the Commission's Rules Regarding  {O7!-Various MTA Markets, Order, DA 97247 (rel. February 4, 1997).  SII has made no such showing here. Its request for a waiver was not filed until several weeks after the second down payment deadline had passed, and its failure to make its payment resulted from a lack of funds, not miscalculation, inadvertence or administrative complications.  Xe-x 10.` ` The rule waivers cited by SII in support of its waiver request are inapposite. In 1995, we eliminated the IVDS oneyear buildout requirement because of a legal challenge to the IVDS lottery process which created uncertainty as to the validity of lottery winners'"7@ +#*#*88{"  X-licenses and hampered their ability to meet the oneyear requirement, }e Xy-ԍ#X\  P6G;H;P#xSee Additional Requests by Lottery Winners to Extend Construction Deadline, Order, 10 FCC Rcd 4546  {Ob-(1995) (citing Larry M. Warner, Esq., Trustee, John Calvin Kemmer Inter Vivos Trust v. FCC, No. 931668  {O,-(D.C. Cir. 1994)). The Warner case was dismissed on October 20, 1994.  and because of our finding that there was no evidence that those requesting an extension of the construction  X-deadline had engaged in speculation or warehousing.O! e X-ԍx#X\  P6G;H;P#Requests by Lottery Winners to Extend Construction Deadline, Order, 10 FCC Rcd 4014 (1995); see  {Oy-also Additional Requests by Lottery Winners to Extend Construction Deadline, Order, 10 FCC Rcd 4546 (1995).O We retained the threeyear and fiveyear construction benchmarks so that waiving the oneyear deadline would not result in delays  X-g.ein service to the public.a"e X -ԍ#X\  P6G;H;P#xId.a SII's license is not the subject of any legal challenge, and its validity is not in question. In 1994, an IVDS winning bidder was given additional time to file an engineering study postauction primarily because bidders who were provided with less than two weeks notice of the filing requirement encountered difficulties in retaining engineering consultants to perform the work on a timely basis because of the limited number of  X1-consultants available.#19e X-ԍ#X\  P6G;H;P#xOrder, Requests for Waivers in the First Auction of 594 Interactive Video and Data Service Licenses, 9 FCC Rcd 6384, 6386 (CCB 1994). SII, however, does not claim that it missed its second down payment deadline because of insufficient notice. Finally, unlike the party who was recently granted a waiver of our bid withdrawal rules, SII has not shown that its failure to meet its down payment deadline was due to a mistake.  X - V. ORDERING CLAUSE   Xy-x 11.` ` For the reasons discussed above, we hereby deny SII's request for a waiver of the Commission's down payment rules. The Bureau observed that the second down payment does not affect the timing of the Commission's review of applicants' qualifications: xThus, while we have consistently denied requests to waive these earlier down payment xdeadlines, we believe that once the first down payment is made and applicants have xalready proven an ability to meet their financial obligations, some flexibility may be xappropriate in addressing a minor delinquency with respect to the final down xpayment. 12 FCC Rcd. 1516 at 1519 (1997). In the case before us, the delay in payment was minimal, and the reasons for the delay clear, unambiguous, and beyond the applicant's control. Further, the applicant put the funds into escrow and offers to fulfill all of its original obligations. Under these circumstances it comports with the public interest and is equitable to grant the relief requested instead of denying the application, keeping the applicant's funds, and possibly imposing substantial additional penalties.
