AND CENTURY TELEPHONE ENTERPRISES, INC. SEEK FCC CONSENT FOR PROPOSED TRANSFER OF CONTROL PLEADING CYCLE ESTABLISHED Report No. LB-97-49 Century Telephone Enterprises, Inc. ("Century") and PacifiCorp Holdings, Inc. ("PHI") have filed applications under Sections 214(a) and 310(d) of the Communications Act of 1934, as amended, 47 U.S.C.  214(a), 310(d), requesting Commission approval of the transfer of control to Century of licenses and authorizations held by PHI and its subsidiaries. This transfer of control would take place as a result of the acquisition of Pacific Telecom, Inc. ("PTI"), a wholly-owned subsidiary of PHI, by Century. Under the terms of the acquisition, PHI has agreed to sell all of the issued and outstanding shares capital of stock of PTI to Century. After the acquisition, PTI will continue to operate as a wholly-owned subsidiary of Century. In addition, PTI owns all of the issue and outstanding shares of capital stock of Pacific Telecom Cellular, Inc. and Pacific Telecom Cellular of Alaska, Inc. As part of the transaction with Century, PTI is selling all of this stock to Century Cellunet, Inc. ("CCI"), a wholly-owned subsidiary of Century. The Applicant seek Commission consent for the transfer of control of licenses held by PTI and its subsidiaries. Century and PHI state that the grant of the PTI licenses to Century will serve the public interest and not adversely affect competition. Century and PHI submit that Century's acquisition of PTI's service areas in rural markets will enable it to realize economies of scale in financing infrastructure development and maintaining operational efficiencies that will permit it to offer better products and services at affordable rates to rural consumers. In addition, Century and PHI contend that Century's merger with PTI will not discourage competition in each other's local exchange markets because the two carriers are not existing or potential competitors since they offer services in different parts of the country, the target market is not highly concentrated, several other potential entrants are equivalent to Century, and Century had no plans, absent the acquisition, to enter the local exchange business in PTI's operating territories.
