WIRELESS TELECOMMUNICATIONS ACTION
                         
WIRELESS TELECOMMUNICATIONS BUREAU 
APPROVES MERGER OF            ARDIS COMPANY 
AND AMERICAN MOBIL       E SATELLITE CORPORATION

     Today the Wireless Telecommunications Bureau approved the application filed on
December 31, 1997, by Motorola, Inc. ("Motorola"), pursuant to Section 310(d) of the
Communications Act of 1934, as amended.  Motorola sought consent to transfer ultimate
control over all FCC authorizations held by Motorola's wholly owned subsidiary, Ardis
Company ("Ardis"), to American Mobile Satellite Corp. ("AMSC") and its subsidiary,
American Mobile Satellite Corporation Acquisition Company, Inc., in connection with the
proposed merger of Ardis and AMSC. 

     Applying the Commission's public interest analysis, the Bureau found that the
proposed transfer will serve the public interest, convenience, and necessity, and granted the
transfer of control application.
